ADDITIONAL TERMS AND CONDITIONS FOR THE PROVISION OF CLOUD BUSINESS COLLABORATION
1. The service is available only to Epic ltd corporate clients who have Internet access through any epic connection.
2. The subscriber has to sign 24month subscription contract with Epic for epic Cloud Business Collaboration service.
3. The Epic Cloud Business Collaboration service is an IP telephone fixed system where the central calling center is located at epic’s premises. The Epic Cloud Business Collaboration service is a broadband telephony solution from epic for corporations in Cyprus.
4. Subscribers obligations: - In order for Epic to be able to offer the Epic Cloud Business Collaboration services, the subscriber has to fulfil several basic requirements regarding the installation of the hardware at its premises
- Subscribers premises must be equipped with LAN structured cabling (type CAT5e or better)
- One dedicated RJ45 port is required per SIP telephone device at each location that a SIP telephone device will be installed
- All RJ45 ports for SIP telephone devices must be terminated at a central distribution frame inside subscriber’s premises
- A 220V AC power supply is required at each SIP telephone device location
- An L2 ethernet switch/hub is required to be present at the central distribution frame location. The L2 switch/hub should have enough available ports to accommodate all SIP telephone devices of the subscriber
- Main telephone line should be present at the central distribution frame for the connection of the DSL access modem
- In case the subscriber wants to use or purchase its own devices these have to comply with the certified SIP devices list which epic will provide.
* The subscriber shall bear all costs regarding the initial installation of the Epic Cloud Business Collaboration service at its premises
* The subscriber has either to buy the terminal equipment with the signing of the subscription contract or pay it through monthly instalments according to the signed subscription contract. In cases the subscriber requires extra terminal equipment then it must bear all the costs.
* The subscriber shall bear any costs in case it requires any amendment and/or addition to the existing equipment.
5. Epic’s obligations:
- Epic is obliged to proceed with the initial installation of the Epic Cloud Business Collaboration service provided that the subscriber’s premises fulfil the above requirements.
- To have availability of modems and all terminal equipment (SIP telephone devices) and ATA devices.
- Epic is responsible for the maintenance of the service at its premises and not at subscriber’s premises
- Epic has to invoice the subscriber on a monthly basis.
6. With the provision of Cloud business Collaboration, Epic provides to its subscribers free of charge the "BroadSoft Webex for BroadWorks" service, powered by Cisco, which is a multi-functional desktop Video/Audio Conference call application. It allows the subscribers to meet with anyone, anywhere, in real time from your office or home, as long as the subscribers have Internet access on their computer or have the WebEx mobile app installed for their device. The "BroadSoft Webex for BroadWorks" service is not offered as a stand-alone service and Epic reserves the right to terminate and/or stop providing the "BroadSoft Webex for BroadWorks" service at any time. (a) IN NO EVENT SHALL EPIC BE LIABLE TO THE SUBSCRIBER, WHETHER IN CONTRACT OR IN TORT OR UNDER ANY OTHER LEGAL THEORY (INCLUDING, WITHOUT LIMITATION. STRICT LIABILITY AND NEGLIGENCE) FOR LOST PROFITS OR REVENUES, LOSS OR INTERRUPTION OF USE, LOST OR DAMAGED DATA, REPORTS, DOCUMENTATION OR SECURITY, OR SIMILAR ECONOMIC LOSS, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SIMILAR DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THE PERFORMANCE (INCLUDING PARTIAL) OR NON-PERFORMANCE OF THE "BROADSOFT WEBEX FOR BROADWORKS" SERVICE. (b) EPIC DOES NOT GUARANTEE THAT DATA SUBMITTED THROUGH THE "BROADSOFT WEBEX FOR BROADWORKS" SERVICE WILL BE SECURE FROM UNAUTHORIZED ACCESS OR WILL BE FREE OF ERRORS OR OMISSIONS. (c) WITH THE "BROADSOFT WEBEX FOR BROADWORKS" SERVICE PROVIDED FOR FREE, NO EVENT SHALL CHANGE EPIC'S LIABILITY UNDER ANY CLAIM MADE BY THE SUBSCRIBER EXCEED THE TOTAL AMOUNT OF FEES PAID BY THE CUSTOMER TO EPIC FOR THE SERVICE, WHICH IS 0 EURO. (d) NO ACTION, REGARDLESS OF FORM, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT MAY BE BROUGHT BY THE SUBSCRIBER MORE THAN ONE (1)YEAR AFTER THE FIRST TO OCCUR OF (i)THE TERMINATION OR EXPIRATION OF THIS AGREEMENT OR (ii)THE EVENT GIVING RISE TO SUCH CAUSE OF ACTION.
7. In case of termination of the subscription contract prior to its expiration date, the subscriber is obligated to return the modem to epic or if the subscriber does not return it, it shall bear the modems cost. In addition, the subscriber shall pay any invoice due for the period it was using the service.
8. In case the subscriber is paying the terminal equipment with monthly instalments and the subscription contract is terminated, the subscriber has to return the equipment to Epic or pay the amount of the remaining monthly instalments.
9. Epic is not responsible if the infrastructure of the subscriber’s premises is not regularly maintained and a problem occurs at the epic Cloud Business Collaboration service.
